Awlencan Innovations India Limited<\/strong> \u200b(hereinafter referred to as \u201cZebPay<\/strong>\u201d), is offering its Users of the ZebPay Platform  in India, an opportunity to participate in ZebPay Monthly Referral Contest – July, 2025<\/strong> (the \u201cContest<\/strong>\u201d) and seek rewards, subject to the eligibility criteria and other requirements listed in these terms & conditions (\u201cT&Cs<\/strong>\u201d).<\/p>\n\n\n\n

These T&Cs shall apply to all Participants (as defined below). By accessing the ZebPay Platform and participating in the Contest, you confirm that you accept these T&Cs and that you agree to fully comply with them and with any additions\/modifications thereto that may be made from time to time. By participating in the Contest, you further grant your consent to ZebPay to contact you.<\/p>\n\n\n\n

You further agree that you are also bound by the Terms of Use<\/a>, Privacy Policy<\/a>, AML Policy<\/a>, Futures Trading Policy<\/a> and the Risk Disclosures<\/a> and all other terms (hereinafter collectively referred to as \u201c\u200bZebPay Policies<\/strong>\u200b\u201d). <\/p>\n\n\n\n

Words capitalised and not defined hereunder shall have the meaning ascribed to them under the ZebPay Policies referred to above.<\/p>\n\n\n\n

1.<\/strong> Period:\u200b<\/strong><\/p>\n\n\n

\r\n
\r\n \n\n

a) This Contest shall kick-off on 1st July, 2025. The Contest shall run on a monthly basis, beginning on the 1st day of each calendar month at 12:00 AM IST and ending on the last day of the same month at 11:59 PM IST. Each such month shall be referred to as a \u201cContest Period<\/strong>\u201d. The Contest will continue month on month in a cyclic manner until the Contest is withdrawn by ZebPay.<\/p>\n\n\n\n

b) Notwithstanding anything stated in 1(a) above, ZebPay may, at its sole discretion, alter or end the term of the Contest at any time at its sole discretion. Participants (defined below) are advised to review the updated terms and conditions from time to time.<\/p>\n\n <\/div>\r\n<\/div><\/div>\n\n\n

2.<\/strong> Contest Details:<\/strong><\/p>\n\n\n\n

Complete the steps mentioned in Clause 3(A) below during the Contest Period and stand a chance to win rewards outlined in Clause 4(A) (each, a \u201cReward<\/strong>\u201d).<\/p>\n\n\n\n

3.<\/strong> Eligibility<\/strong>:<\/p>\n\n\n\n

A. In order to participate in the Contest <\/strong>a User is required to satisfy all the following criteria (\u201cParticipant(s)<\/strong>\u201d): <\/p>\n\n\n

\r\n \n\n

a) Participant is a registered User of ZebPay Platform in India, who has completed their KYC and bank verification in accordance with the ZebPay Policies;   <\/p>\n\n\n\n

b) During the Contest Period, Participant refers new users (each, a \u201cReferred User<\/strong>\u201d) to the ZebPay Platform using the unique referral link, as made available through the ZebPay Platform or via https:\/\/zebpay.com\/in\/referral<\/a>;<\/p>\n\n\n\n

c) During the same Contest Period, a minimum of three (3) Referred Users successfully register on the ZebPay Platform and complete at least one (1) trade each;<\/p>\n\n\n\n

d) Participant\u2019s account with ZebPay remains active till the end of the Contest Period.<\/p>\n\n <\/div>\r\n<\/div><\/div>\n\n\n

B. Notwithstanding the foregoing, and for avoidance of any doubt, ZebPay reserves the right, at its sole discretion, to approve or reject any Participants from the Contest. <\/p>\n\n\n\n

C. For the avoidance of any doubt, it is clarified that a Participant shall not be deemed to be a winner of the Reward, award or prize under the Contest unless and until that Participant\u2019s eligibility and compliance with these T&Cs has been fulfilled and verified.<\/p>\n\n\n\n

4.<\/strong> Rewards:<\/strong><\/p>\n\n\n

\r\n \n\n

A. A \u201cSuccessful Referral<\/strong>\u201d shall occur when each Referred User completes at least one (1) trade on the ZebPay Platform. If a Participant has a minimum of three (3) Successful Referrals, they shall be eligible to win a Reward based on the tiers described below. There shall be one (1) winner for each tier (\u201cRewards<\/strong>\u201d):<\/p>\n\n\n\n

B. Among each tier, the Reward shall be awarded to the Participant whose Referred Users have generated the highest cumulative trading volume during the Contest Period.<\/p>\n\n\n\n

C. In the event of a tie within any tier (i.e., two or more Participants have the same number of Successful Referrals and identical cumulative trading volumes), ZebPay shall determine the winner based on the earliest timestamp at which the Participant’s last Successful Referral completed their first trade during the Contest Period. If a tie still persists, ZebPay reserves the right to select the winner through a randomized draw. ZebPay\u2019s decision in this regard shall be final and binding.<\/p>\n\n\n\n

D. All Rewards under this Contest shall be credited to the respective winners\u2019 ZebPay spot wallets within ten (10) days from the end of the Contest Period.<\/p>\n\n\n\n

E. The Rewards under this Contest are over and above the referral rewards offered under ZebPay\u2019s Referral Program, and the same shall continue to apply in parallel with this Contest. Participants must use their unique referral link, available through the ZebPay Platform or at https:\/\/zebpay.com\/in\/referral<\/a>, to refer new users under this Contest.<\/p>\n\n <\/div>\r\n<\/div><\/div>\n\n\n

5.<\/strong> The Reward is non-transferable, non-negotiable and final. ZebPay reserves the right to change or substitute the Reward in any manner and \/or at any time, in any manner of its choosing and reserves the right to withhold the Rewards, at its sole discretion, and shall not be liable to any party\/person in any manner whatsoever regarding the same.<\/p>\n\n\n\n

6.<\/strong> Every Participant hereby grants ZebPay and\/or any of its third-party vendors the right to communicate with such Participant by email \/ phone \/ messenger and\/or other means of communications in relation to participating in the Contest, in compliance with applicable laws.<\/p>\n\n\n\n

7.<\/strong> Release; No Warranties<\/strong>:<\/p>\n\n\n

a) Each Participant hereby releases and discharges ZebPay from any and all claims, damages, losses (whether perceived or actual) and\/or cause of action, known or unknown, arising from or relating to the Reward and\/or their participation in the Contest.<\/p>\n\n\n\n

b) ZebPay does not provide any warranties of any kind to the Participant with respect to the Contest and the Reward therein. ZebPay hereby disclaims any and all  representations and  warranties, including any implied warranty of merchantability, fitness for a particular purpose and non-infringement in relation to the Contest.<\/p>\n\n <\/div>\r\n<\/div><\/div>\n\n\n

8.<\/strong> Disqualification:<\/strong><\/p>\n\n\n

a) ZebPay reserves the right to disqualify any Participant at any time on the grounds of unfair trading practices, including but not limited to distorting reported trade volumes by collusion or any other unfair means, disseminating false information, as well as any breach of any these T&C and\/or breach of any terms of the ZebPay Policies (as determined at ZebPay\u2019s sole discretion).<\/p>\n\n\n\n

b) Notwithstanding anything to the contrary contained herein, ZebPay reserves the right to disqualify or disallow any Participants\/trades\/transactions to participate in the Contest at any time if ZebPay, at its sole discretion, is of the opinion that the particular Participant\/trade\/transaction (a) is done in any manner for the purpose of feeding false or misleading information to the market or (b) is done in any manner that has the effect of wrongfully denying legitimate Participants the Reward of the Contest.<\/p>\n\n\n\n

c) Any Participant who during the Contest Period: (i) attempts to cancel or cancels an existing Client Asset Account and attempts to create or creates a new Client Asset Account, or (ii) attempts to create or creates one or more additional Client Asset Accounts, or (iii) attempts to register or registers for the Contest using multiple\/different email addresses, by any other means or any other methods will be disqualified.  <\/p>\n\n\n\n

d) ZebPay\u2019s decision in these regards shall be final and binding, and by participating in the Contest, all Participants expressly understand and agree with ZebPay\u2019s rights as specified above.<\/p>\n\n <\/div>\r\n<\/div><\/div>\n\n\n

9.<\/strong> Promotional events<\/strong>: The Participant acknowledges that the Contest is only an event for promoting trading on ZebPay Platform, including the ZebPay app, and participating in the Contest is completely voluntary. The Contest is only a promotional event. Participating in the Contest does not confer any rights or privileges, whether contractual or otherwise, on the Participant. It is clarified that participating in the Contest by a Participant does not constitute an acceptance, nor in any way does participating in the Contest constitute a legally binding contract. ZebPay at its sole discretion reserves the full right to withdraw and\/or alter any of these T&C at any time, with or without prior notice.<\/p>\n\n\n\n

10.<\/strong> Taxes:<\/strong> The Reward contemplated hereunder shall be inclusive of any and all taxes, and may be subjected to tax deduction at source as applicable. ZebPay shall not be responsible for any tax liability on the Participant(s) that may be imposed on the Reward to winners under applicable law. The Participant shall bear all responsibility for payments of all taxes towards such Participant\u2019s Reward. ZebPay in no manner shall provide any tax guidance or advice on this matter to any Participant and the Participants may engage independent consultants\/advisors to seek any advice in this regard in their sole discretion.<\/p>\n\n\n\n

11. Dispute<\/strong>: In the event of any dispute regarding these T&C, rules, conduct, results and all other matters relating to the Contest, the decision of ZebPay shall be final and binding<\/p>\n\n\n\n

12.<\/strong> Force Majeure<\/strong>: ZebPay shall not be responsible for system outages, delays, errors or data loss of any kind, lost or unavailable connections, or other technological difficulties or any other force majeure event that may prevent a Participant from participating in the Contest.<\/p>\n\n\n\n

13.<\/strong> Disclaimer<\/strong>:<\/p>\n\n\n

a) Trading in cryptographic\/virtual digital assets is subject to market, technical and legal risks. Prices of cryptographic\/virtual digital assets on the ZebPay Platform may differ from other exchanges due to local demand and supply. Please note that ZebPay does not regulate the prices of cryptographic\/virtual digital assets. ZebPay doesn\u2019t guarantee any returns or profits by trading in cryptographic \/virtual digital assets. Participants shall use ZebPay\u2019s services to participate in the Contest or to trade in the crypto\/cryptographic\/\/virtual digital assets at their own risk and discretion. <\/p>\n\n\n\n

b) Notwithstanding anything contrary contained herein, ZebPay reserves the right to amend the T&Cs of the Contest at any point of time without serving any notice whatsoever to anyone.<\/p>\n\n\n\n

c) To the extent not prohibited by applicable law, ZebPay shall have no liability whatsoever to the Participants and\/or any third party, whether for breach or in tort. Notwithstanding the foregoing, ZebPay shall not be liable to the Participants and\/or any third parties for any indirect, punitive, special, incidental or consequential damage in connection with or arising out of the Contest, however it arises, whether for breach or in tort, even if the Participant and\/or third party has been previously advised of the possibility of such damages.<\/p>\n\n <\/div>\r\n<\/div><\/div><\/div><\/div>\n<\/div>\n\n <\/div>\r\n<\/div><\/div>\n\n
