1. Period. This Program shall be available during the Referral Period. Notwithstanding anything stated above, ZebPay may, at its sole discretion, alter, extend or end the Referral Period and the Program at any time, at its sole discretion. The participants are advised to review the updated Program Terms and Conditions from time to time.
2. Receive a Referral Code: Each Referring Member will automatically be assigned a unique Referral Code. This Referral Code is linked to the Referring Member’s ZebPay account and can be shared with people who are not yet registered with ZebPay. The Referral Code can be accessed by the Referring Member through the Referring Member’s account dashboard on the ZebPay App.
3. Share the Referral Code: The Referring Member may share the unique Referral Code with friends, family members, colleagues, and/or any other potential customers who have not yet registered on ZebPay. The Referral Code may be distributed through any legally appropriate channels, including email, messaging apps, and/or social media platforms. ZebPay reserves the right to disqualify any Referring Member or Referred Customer if the referral system is misused or if any violations of the ZebPay Policies occur.
4. Referred Customer Signs Up: The Referred Customer must use the Referring Member’s Referral Code during the sign up on ZebPay. If a Referred Customer fails to submit the Referral Code during the sign up / KYC process and at a place as designated by ZebPay, the Referred Customer won’t be able to use the Referral Code retrospectively and thus shall become ineligible to become a beneficiary the Program. The Referred Customer must be a new user of ZebPay and should not have previously held an account with the ZebPay Platform.
5. Rewards for both:
a) Upon occurrence of a Qualified Referral, both the New Customer and the Referring Member shall receive rewards (collectively referred to as “Rewards”) in the following manner:
i. the New Customer shall be rewarded with free trading (i.e. 0% fees) on their Transactions, starting from their first Transaction and continuing for a period (a) of ten (10) days therefrom or (b) up to 30th November, 2024, whichever occurs earlier.
ii. After the first successful Transaction completed by each New Customer upon referral by a Referring Member, the said Referring Member will be rewarded with free trading (i.e. 0% fees) on their Transactions starting from the time of the first Transaction by each New Customer and continuing for period (a) of ten (10) days therefrom or (b) up to 30th November, 2024, whichever occurs earlier.
b) A Referring Member can avail Rewards for referring multiple New Customers, however for each Qualified Referral, a Referring Member can only avail the Rewards for a period of 10 days each or up till 30th November, 2024, whichever occurs earlier, as described in Clause 5(a)(ii) hereinabove. In no event can any Reward be availed beyond the Referral Period i.e beyond 30th November, 2024.
c) The free trading period begins immediately after the New Customer’s first Transaction and is calculated based on the exact timestamp of the New Customer’s first Transaction.
d) In an event where two or more New Customers are referred by a single Referring Member, and the subsequent New Customer performs their first Transaction within the free trading period rewarded to the Referring Member on account of the first Transaction of the preceding New Customer, then an additional ten (10) days of free trading on Transactions will be rewarded to the Referring Member immediately after the subsequent New Customer’s first Transaction. By way of example, if Referring Member A refers New Customers B & C, B uses the Referral Code provided by A and performs their first Transaction on 1st November, 2024 1:00 PM, both A & B are rewarded with a free trading period till 11th November, 2024 12:59 PM. C uses the Referral Code provided by A and performs their first Transaction on 3rd November, 2024 1:00 PM. Then, C is rewarded with a free trading period till 13th November, 2024 12:59 PM and A’s free trading period is extended till 13th November, 2024 12:59 PM.
e) In the event that a Qualified Referral occurs, and the first Transaction by the New Customer takes place during the last ten days of the Referral Period, then both the Referring Member and the New Customer shall receive the respective Reward only until the expiry of the Referral Period.
f) The Rewards of the Program are non-transferable, non-negotiable, and final. ZebPay reserves the right to change or substitute the Rewards in any manner and/or at any time, in any manner of its choosing and reserves the right to withhold the Rewards, at its sole discretion, and shall not be liable to any party/person in any manner whatsoever regarding the same.
g) ZebPay reserves the right to verify the Transactions and determine the applicable free trading period.
h) The participants hereby grant ZebPay and/or any of its third-party vendors the right to communicate with them by email/phone/messenger and/or other means of communication in relation to the Program.
i) The referral feature will be deactivated upon the expiry of the Referral Period. However, user data will be retained and maintained by ZebPay even after the Program ends.
j) (For the purposes of the clauses that follow, the terms ‘Referring Member’ and ‘Referred Customer’ shall be collectively referred to as “You,” unless specified otherwise.)
6. promoting trading on the ZebPay Platform, including the ZebPay App, and participating in the Program is completely voluntary. The Program is only a promotional event. Participating in the Program does not confer any rights or privileges, whether contractual or otherwise, on the Referring Member and/ or the Referred Customer. ZebPay at its sole discretion reserves the full right to withdraw and/or alter any of these Terms and Conditions at any time, with or without prior notice.
7. Disqualification: Notwithstanding anything to the contrary contained herein, ZebPay reserves the right to disqualify or disallow You from the Program if ZebPay, at its sole discretion, is of the opinion that You have, either alone or in collusion with one or more Referring Member and/or Referred Customer, resorted to any illegal or unethical means to unfairly benefit from the Program in any manner whatsoever. ZebPay’s decision in this regard shall be final and binding, and You expressly understand and agree with ZebPay’s rights as specified above.
8. Conduct. You must comply with all applicable laws. Any distribution of your Referral Code that could constitute unsolicited commercial email or “spam” under any applicable law or regulation is expressly prohibited and will be grounds for immediate termination of your Referral Code and your exclusion from this Program. ZebPay reserves the right, at its sole discretion, to prohibit You from participating in any aspect of the Program if ZebPay deems or suspects that You have engaged in or have attempted to engage in any of the following: a) acting in violation of these Terms and Conditions; b) damaging, tampering with or corrupting the operation of the Program or ZebPay Policies; c) acting with intent to annoy, harass, or abuse any other person; d) any inappropriate, uncooperative, disruptive, fraudulent, potentially fraudulent, or unusual behaviour or activity; or e) activity deemed in the sole discretion of ZebPay to be generally inconsistent with the intended operation of the Program. ZebPay shall be the sole determiner in cases of suspected abuse, fraud, or breach of these Terms and Conditions or intent thereof.
9. Binding Effects. By participating in the Program, You agree to and are bound by the Terms and Conditions. If You do not wish to agree to and abide by the Terms and Conditions in their entirety, You are not authorized to participate in the Program.
10. Termination. ZebPay may, in its sole and absolute discretion, cancel, change, suspend, or modify any aspect of the Program or Terms and Conditions at any time, without notice. ZebPay may, in its sole and absolute discretion, terminate or suspend your participation in the Program for breach of these Terms and Conditions or taking any actions that are inconsistent with the intent of these Terms and Conditions. We may terminate your eligibility if You take the following action:
a. Refer customers using spam, sponsored links, unsolicited e-mails, or links;
b. Use false names, impersonate other people, or otherwise provide false or misleading information to us;
c. Offer incentives to others who register new ZebPay accounts;
d. Violate these Terms and Conditions or any of the ZebPay Policies; or
e. Participate in the Program where doing so would be prohibited by any applicable law or regulation.
11. Release. By participating in the Program, You release ZebPay and its group companies, subsidiaries, affiliates, advertising, and promotions agencies and their respective directors, officers, employees, and agents from any and all liability for any loss, harm, damages, cost, or expense arising out of or in any way connected to the Program and/or the use of Rewards.
12. Indemnification. You agree to indemnify, defend, and hold ZebPay, and its representatives and agents harmless from and against any and all direct or indirect third party claims, demands, liabilities, costs, or expenses, including attorney’s fees and costs, arising from, or related to any breach by You of these Terms and Conditions or any violation of applicable law or claims arising from your referral activities.
13. Disclaimer:
a. ZebPay disclaims any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with the Program, and reserve the right, in ZebPay’s sole discretion, to cancel, modify, or suspend the Program should a virus, bug, computer problem, unauthorized intervention, or other causes beyond ZebPay’s control, corrupt the administration, security, or proper play of the Program.
b. Trading in cryptographic/virtual digital assets is subject to market, technical and legal risks. Prices of cryptographic/virtual digital assets on the ZebPay Platform may differ from other exchanges due to local demand and supply. Please note that ZebPay does not regulate the prices of cryptographic/virtual digital assets. ZebPay doesn’t guarantee any returns or profits by trading in cryptographic /virtual digital assets. You shall use ZebPay’s services to participate in the Program or to trade in the crypto/cryptographic//virtual digital assets at their own risk and discretion.
c. Notwithstanding anything to the contrary contained herein, ZebPay reserves the right to amend these Terms and Conditions at any point of time without serving any notice whatsoever to anyone.
d. To the extent not prohibited by applicable law, ZebPay shall have no liability whatsoever in respect of the Program to You and/or to any third party, whether for breach or in tort. Notwithstanding the foregoing, ZebPay shall not be liable to You and/or any third parties for any indirect, punitive, special, incidental or consequential damage in connection with or arising out of the Program, however it arises, whether for breach or in tort, even if You and/or third party has been previously advised of the possibility of such damages.
14. Force Majeure. ZebPay shall not be liable to You for failure to supply any Reward or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s), or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s), or request(s) prove(s) to be invalid), equipment failure, threatened terrorist attacks, terrorist acts, air raid, blackout, earthquake, tornado, war, unusually severe weather, explosion, labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, or any other similar or dissimilar cause beyond any of ZebPay’s control. ZebPay can with-hold all Rewards or cancel an already given reward or cancel a to-be-given reward at any time without reason, without informing You and without being liable.
15. Reserved Right. ZebPay reserves the right to cancel or suspend the Program should it determine, in its sole discretion, that the administration, security, or fairness of the Program has been compromised in any way. Disclaimer of Warranties: YOU EXPRESSLY UNDERSTAND AND AGREE THAT: (A) YOUR PARTICIPATION IN THE PROGRAM IS AT YOUR SOLE RISK, THE PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND ZEBPAY EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS AND TERMS (COLLECTIVELY, “PROMISES”) OF ANY KIND, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR CUSTOM, INCLUDING, BUT NOT LIMITED TO, PROMISES AS TO SERVICES OFFERED THROUGH THE USE OF THE PROGRAM, IMPLIED PROMISES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) ZEBPAY MAKES AND GIVES NO PROMISE THAT (i) THE PROGRAM WILL MEET YOUR REQUIREMENTS, (ii) BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS OBTAINED FROM THE USE OF THE PROGRAM WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY SERVICES, INFORMATION, OR OTHER PRODUCT OBTAINED BY YOU THROUGH THE PROGRAM WILL MEET YOUR EXPECTATIONS, AND (v) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; AND (C) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PROGRAM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL.
16. Dispute: In the event of any dispute regarding these Terms and Conditions, rules, conduct, results and all other matters relating to the Program, the decision of ZebPay shall be final and binding.
17. General Terms. These Terms and Conditions constitute the entire agreement between ZebPay and You concerning your use of the Program. The failure of ZebPay to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that: (i) the said provision shall be interpreted in a manner to give effect to the parties’ intentions as reflected in the provision, and (ii) all the other provisions of these Terms and Conditions remain in full force and effect. The section headings in these Terms and Conditions are for convenience only and have no legal or contractual effect. A person who is not a party to these Terms and Conditions shall have no right to enforce or receive the benefit of any of these Terms and Conditions.
