Ripple Lawsuit with the SEC
The U.S. Securities and Exchange Commission (SEC) had pursued a case against Ripple and its executives, alleging a $1.3 billion unregistered securities offering through sales of the XRP crypto asset. While the SEC has a history of over 100 crypto-related enforcement actions, often classifying various tokens as securities and frequently ending in settlements, the Ripple case saw a significant development.
In a landmark ruling, a U.S. judge determined that Ripple did not violate federal securities laws when selling XRP on exchanges, a considerable victory for the broader crypto sector that caused XRP’s price to surge, briefly touching $0.94 before stabilizing around $0.82. However, the ruling was a partial win for the SEC, as the judge also found that $728.9 million worth of XRP sales to institutional buyers, like hedge funds, did indeed constitute unregistered securities sales. This mixed outcome nonetheless bolstered investor confidence, pushing XRP’s value closer to the $1 mark.
A key turning point for Ripple came in August 2024, when the court officially ruled that XRP, when traded publicly, is not a security. Despite this, Ripple was subject to a $125 million fine for its direct institutional sales, a decision that still reignited optimism among XRP supporters. As of June 2025, the legal battle is no longer ongoing in the same way, as the SEC has officially dropped its appeal against Ripple, and a settlement has been reached. Ripple is set to pay a $50 million penalty, with the remainder of the initial $125 million fine to be returned to the company. This settlement also includes an agreement for enhanced disclosure protocols for institutional XRP sales over the next five years, aiming for complete regulatory compliance by 2029. This resolution provides significant clarity on XRP’s status as a non-security in programmatic sales.
